Terms of Service

These Terms of Service ("Terms") govern your use of the Ultrafast Search service ("Service") provided by PrestaChamps ("we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Service Description

Ultrafast Search is a cloud-hosted search solution for PrestaShop e-commerce stores. The Service provides:

• Lightning-fast product search powered by Meilisearch infrastructure
• Multiple display modes (dropdown, overlay, dedicated search page)
• Optional AI-powered semantic search capabilities
• Search analytics and performance insights
• A PrestaShop module that integrates with your store

The Service is designed for PrestaShop versions 1.7, 8.x, and 9.x. Compatibility with other platforms or heavily customized installations is not guaranteed.

2. Account and Registration

To use Ultrafast Search, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and API keys
• Be at least 18 years of age or the legal age in your jurisdiction
• Have the legal authority to bind your organization to these Terms

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

3. Subscription Plans and Pricing

All prices are in Euros and exclusive of applicable taxes (VAT). Prices may be updated with 30 days' written notice to active subscribers.

3.1 Billing

Subscriptions are billed in advance at the start of each billing cycle. For monthly plans, billing occurs on the same date each month. For annual plans, billing occurs on the anniversary of your subscription start date.

3.2 Payment Methods

We accept major credit and debit cards, as well as bank transfers for annual and Enterprise plans. All payments are processed securely through our payment provider.

4. Free Trial

We offer a 14-day free trial of the full Ultrafast Search service. Trial terms:

• No credit card is required to start the trial
• The trial includes all features available in the paid plan
• At the end of the 14-day period, your search functionality will be suspended unless you subscribe to a paid plan
• Your indexed data will be retained for 30 days after trial expiration, after which it may be deleted
• Each store domain is eligible for one free trial only

5. Refunds and Cancellation

5.1 Monthly Plans

You may cancel your monthly subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing cycle.

5.2 Annual Plans

Annual subscriptions may be cancelled within the first 30 days for a full refund. After 30 days, the subscription remains active until the end of the annual billing period with no refund for the remaining term.

5.3 Enterprise Plans

Refund and cancellation terms for Enterprise plans are specified in the individual service agreement.

6. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You must not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse-engineer, decompile, or disassemble the Service or module
• Share, redistribute, or sublicense the module or your API credentials
• Use the Service to index or search content unrelated to your e-commerce product catalog
• Attempt to circumvent usage limits, license restrictions, or security measures
• Introduce malicious code, viruses, or other harmful content through the Service
• Use automated tools to scrape or extract data from the Service beyond normal search functionality
• Interfere with or disrupt the integrity or performance of the Service

7. Intellectual Property

7.1 Our Intellectual Property

The Ultrafast Search module, its source code, design, documentation, branding, and all related materials are the exclusive property of PrestaChamps and are protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the module on your designated PrestaShop store(s) for the duration of your subscription.

7.2 Your Content

You retain all rights to your product data and content. By using the Service, you grant us a limited license to index, store, and process your product data solely for the purpose of providing the search functionality.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

8. Service Availability and Support

8.1 Uptime

We strive to maintain 99.9% uptime for the search service. However, we do not guarantee uninterrupted availability. Planned maintenance will be communicated in advance when possible.

8.2 Support

All plans include email support during business hours (Monday-Friday, 9:00-18:00 GMT). Enterprise plans include priority support with guaranteed response times as specified in the service agreement. We aim to respond to all support inquiries within 24 business hours.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• PrestaChamps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
• Our total liability for any claim arising from or relating to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not liable for any losses resulting from search result accuracy, search downtime, or the integration of the module with your specific PrestaShop configuration.

10. Indemnification

You agree to indemnify, defend, and hold harmless PrestaChamps, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

11.1 Termination by You

You may terminate your account at any time by cancelling your subscription through the module settings or by contacting our support team. Upon termination, your access to the Service will end at the conclusion of your current billing period.

11.2 Termination by Us

We reserve the right to suspend or terminate your account if:

• You breach any provision of these Terms
• Your payment fails and is not resolved within 14 days
• Your use of the Service poses a security risk or adversely impacts other users
• We are required to do so by law

We will provide reasonable notice before termination where possible, except in cases of serious breach or security concerns.

11.3 Effect of Termination

Upon termination:

• Your right to use the module and Service immediately ceases
• Your indexed product data will be deleted from our servers within 30 days
• Sections of these Terms that by their nature should survive (such as Limitation of Liability, Indemnification, and Governing Law) will remain in effect

12. Modifications to Terms

We may modify these Terms at any time. We will notify active subscribers of material changes at least 30 days before they take effect via email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and PrestaChamps regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
